Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you (“User”) and VIROMI CORP., a Washington C corporation doing business as PawQueue (“PawQueue,” “Company,” “we,” “us,” or “our”). They govern your access to and use of the PawQueue platform as a pet owner, clinic client, or veterinary clinic staff member.

By accessing or using the platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the platform.

1. Acceptance of Terms

Agreement

By accessing or using PawQueue in any manner — including visiting the website, creating an account, completing a check-in, signing a digital waiver, or making a payment — you agree to be bound by these Terms.

Electronic Acceptance

Your electronic acceptance (clicking “I Agree,” completing a check-in flow, or continued use) constitutes a legally binding agreement equivalent to a handwritten signature under applicable electronic signature laws, including the Washington Uniform Electronic Transactions Act (RCW 1.80) and the federal ESIGN Act.

Age Requirement

You must be at least 18 years old to use the platform.

Updates

We may update these Terms from time to time. Material changes will be posted with a new “Last Updated” date and, where practicable, communicated via email or SMS. Continued use after changes take effect constitutes acceptance.

2. Description of Services

PawQueue is a veterinary urgent care queue management platform that enables pet owners to check in online, provide pet and symptom information, sign digital waivers, make deposits, and receive real-time queue notifications via SMS and email.

Clinic Relationship

PawQueue is a technology provider, not a veterinary care provider. Veterinary services are provided solely by the clinic (“Clinic”) and its licensed professionals.

No Veterinary Advice

PawQueue does not provide veterinary medical services, advice, diagnosis, or treatment. Your use of the platform does not create a veterinarian-client-patient relationship with PawQueue.

3. Accounts

  • You agree to provide accurate, current, and complete information.
  • You are responsible for maintaining the security of your account credentials. Notify us immediately at [email protected] if you suspect unauthorized access.
  • Each account is personal and may not be shared.
  • Providing false information may result in suspension or termination of your account.

4. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose.
  • Provide false or misleading information about yourself or your pet.
  • Attempt to gain unauthorized access to any part of the platform.
  • Interfere with or disrupt the platform’s operation.
  • Use automated tools (bots, scrapers) to access the platform.
  • Reverse engineer, decompile, or disassemble the platform.
  • Attempt to manipulate your queue position or triage priority.
  • Harass, threaten, or abuse Clinic staff or other users.

5. Queue Management

Check-In

Completing the check-in process places you in the Clinic’s queue. Your position may be influenced by the severity of your pet’s condition as assessed by the platform’s triage tools and the Clinic’s veterinary professionals.

No Guarantee of Service

Checking in does not guarantee that your pet will be seen within any particular timeframe or at all. The Clinic may prioritize patients based on clinical urgency, refuse service, or close the queue at any time.

6. Triage Disclaimer

The platform may use automated triage scoring (PACS — PawQueue Acuity Classification Score) to assist clinics in prioritizing patients based on information you provide.

Triage scores are a queue prioritization tool only. They are not veterinary medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of the Clinic’s licensed veterinary professionals.

Do not rely on triage scores or queue position as an indicator of your pet’s condition. If your pet is experiencing a life-threatening emergency, seek immediate veterinary care.

7. Payments

Deposits

The Clinic may require a deposit to secure your queue position. Deposits are applied toward the cost of your visit.

Payment Processing

All payments are processed by Elavon, a certified PCI DSS Level 1 payment processor. Your card information is entered directly into Elavon’s secure hosted interface and is never transmitted to or stored by PawQueue. PawQueue does not hold, transmit, or control your funds at any point during a transaction.

Refunds

Refund policies are established by the Clinic, not PawQueue. Direct refund questions to your Clinic.

8. Digital Waivers

The Clinic may require digital waivers as a condition of service. By signing a waiver through the platform, you agree that your electronic signature is legally binding under applicable law, including the Washington Uniform Electronic Transactions Act and the federal ESIGN Act. PawQueue records the signature image, timestamp, IP address, and waiver version for each signed waiver. You are responsible for reading and understanding any waiver before signing.

9. Notifications

  • By providing your contact information, you consent to receive automated SMS and email messages regarding your veterinary visit, in compliance with the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
  • Opt out of SMS by replying “STOP” or adjust preferences in your account settings. Opting out may affect timely queue updates.
  • Notifications are limited to transactional, service-related messages. We will not send marketing messages without separate consent.

10. Privacy

Your use of the platform is subject to our Privacy Policy, which describes how we collect, use, store, and share your personal information. If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA), including the right to access, delete, and opt out of the sale of your personal information. We do not sell personal information. To exercise your rights, contact [email protected].

11. Intellectual Property

The platform, including all software, design, the PACS triage algorithm, trademarks, logos, documentation, and content, is the exclusive property of PawQueue and is protected by applicable intellectual property laws. You may not use PawQueue’s name, logo, or trademarks without prior written consent.

12. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

PawQueue expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

PAWQUEUE IS NOT A VETERINARY CARE PROVIDER. PAWQUEUE SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY INJURY, DEATH, OR HARM TO ANY ANIMAL, OR FOR ANY CLAIM ARISING FROM VETERINARY CARE, TREATMENT DECISIONS, TRIAGE PRIORITIZATION, OR CLINICAL OUTCOMES.

Liability Cap

To the maximum extent permitted by applicable law, PawQueue’s total cumulative liability to you for all claims arising out of or related to these Terms or the platform shall not exceed the total fees you have paid to PawQueue in the twelve (12) months preceding the event giving rise to the claim. PawQueue shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, data, or goodwill, regardless of whether such damages were foreseeable.

13. Dispute Resolution

Informal Resolution

Before formal dispute resolution, contact us at [email protected] and attempt to resolve the matter informally for at least 30 days.

Arbitration

Unresolved disputes will be settled by binding arbitration under the American Arbitration Association’s Consumer Arbitration Rules in Kitsap County, Washington. Each party shall bear its own costs and attorneys’ fees, unless the arbitrator awards costs to the prevailing party.

CLASS ACTION WAIVER: You and PawQueue agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class or representative action. BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

Exceptions

Either party may seek injunctive or equitable relief in court for claims involving intellectual property infringement, unauthorized access to confidential information, or matters requiring immediate intervention to prevent irreparable harm.

Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles.

14. Termination

You may stop using the platform at any time. Request account deletion at [email protected]. PawQueue may suspend or terminate your access for violation of these Terms, violation of the Acceptable Use Policy, or any other reason. Upon termination, your right to access the platform ceases immediately.

15. Force Majeure

PawQueue shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, acts of government, pandemics, internet outages, cloud infrastructure failures, DNS outages, or third-party service failures.

16. General

If any provision is held invalid, the remaining provisions continue in full force. The failure to enforce any right shall not constitute a waiver of that right. These Terms, the Privacy Policy, and any digital waivers constitute the entire agreement between you and PawQueue. You may not assign your rights under these Terms without our prior written consent.
